Terms and Conditions of Brand Ambassador Agreement on behalf of ViscoSoft LLC (known as ViscoSoft in the document)

As a Brand Ambassador, I understand and agree to the following:

By using #ViscoSoft or #VSambassador, and/or tagging any ViscoSoft affiliated social media accounts, I am agreeing to the terms and conditions listed below:

I am 18 years of age or older.

I am not an employee, agent, franchisee, or partner of ViscoSoft. I cannot act on behalf of ViscoSoft and my posts are entirely my own ideas. I do not have any authority to incur debt, obligation, or liability on behalf of the ViscoSoft .

I will promote and market ViscoSoft products to potential and current customers, family, friends, and followers.

Receive test/wear/model/experience and write about products on social networks (blogs, posts, pictures, videos, etc.) and complete applicable challenges via the ViscoSoft Ambassador Platform.

I will share the brand message on social networks to the best of my ability.

Receive new products and model them for promotions we create or to be used as product images.

Share content using our brand hashtags: #ViscoSoft #VSambassador.

I will NOT misrepresent myself as a "typical customer" experiencing "typical results" when promoting our products.

I will always be transparent, authentic, and kind to my audience. Earn respect by showing respect.

I will be an active member of the program or face potential dismissal.

I understand that I may not receive monetary compensation or gift cards for use of my images or videos used on ViscoSoft ’s social media networks, marketing material or website. I understand that I will only get compensated when someone makes a purchase using my unique and personal discount code to make a ViscoSoft purchase.

If orders are submitted without using my brand ambassador promotion code, these orders will not be credited to my account. No cash compensation will be provided by ViscoSoft if the ambassador’s code was not used. Only one promotion code can be applied per order. Sales to customers with a shipping address outside of the United States do not qualify for commission. ViscoSoft ambassadors will only earn commissions in terms of points.

I will not post negative comments, photos, etc on social media about ViscoSoft. Failure to refrain from posting detrimental content to ViscoSoft will result in my dismissal.

I will not share any brand ambassador only promotion codes, discounts, exclusive offers, etc with anyone who is not a registered ViscoSoft ambassador. The only codes I will share are the ones that are designated to me for public use by ViscoSoft.

I will not sell ViscoSoft  products on unauthorized websites on the internet (such as eBay, Poshmark, Craigslist, etc) or in retail establishments.

I will protect the ViscoSoft ’s trademark by not reproducing the ViscoSoft ’s name/trademark or any ViscoSoft materials for use in advertising without the written approval of the ViscoSoft.

I will promote ViscoSoft products on social media accounts by posting appropriate photos of marketing events showcasing the products to the best of my ability. I will contact ViscoSoft if a clear understanding of “appropriate” photos is needed. I will not receive any financial or other compensation for product promotion through my social media network.

PPC Bidding Rules:

Trademarks are restricted in all forms of paid search, Amazon, eBay, and any other third-party vendor services selling. Only category and generic terms should be used.

Behavior:

Foul language, curse words, or any abysmal speech on posts, whether or not the post showcases a ViscoSoft product, will not be tolerated. I will abstain from posting any sort of crude language. 

Bullying, hate speech, racism, sexism, homophobia, xenophobia anti-sematism, threats, or any other form of disrespect towards others will not be tolerated and will cause my immediate dismissal from the program.

I will not share the personal information of other ambassadors without their permission.

ViscoSoft reserves the right to remove an ambassador at any time for violating the terms of the ambassador program or for distasteful behavior. Therefore, I will conduct myself in a manner that reflects the highest standard of integrity and responsibility in keeping with the reputation of ViscoSoft. If I do not uphold these standards, I will be immediately removed from the brand ambassador program and forfeit any unused gift cards, rewards and all promotional codes effective immediately.

Please monitor your social and personal brand presence and reputation online. We may be able to assist you in this monitoring; however, it remains the responsibility of the Ambassador to ensure compliance with this rule. Ensure you and your likeness are not found on the following types of websites:

  • Sites that promote sexually explicit material or violence.
  • Sites that promote discrimination based on race, sex, religion, national origin, or physical disability.
  • Sites that promote illegal activities.

Usage:

If I choose to leave the brand ambassador program, ViscoSoft still has permission to use photos I took while in the program on their website, marketing, social media, ads, and any other medium they see fit.

I agree that ViscoSoft reserves the right to cancel this agreement at any time.

I agree that I will not be an ambassador for a competitor’s company.

I agree to the ViscoSoft’s privacy policy and I have read and agree to these terms.

SPAM

Ambassador agrees to not utilize SPAM in promoting the ViscoSoft. This action will result in the immediate termination of your account with a cancellation of any pending commissions. Ambassador will also subject to legal action and be held liable for any financial loss incurred by The Company. Any service interruptions to ViscoSoft’s website as a result of Ambassador spamming will be billed to the Ambassador at $200 U.S. dollars per hour until service is restored. For the purpose of this agreement, SPAM is defined as emailing ANYONE, in bulk or by single mailing, about The ViscoSoft, who has not specifically requested the information directly from Ambassador.

The Company also considers ANY type of advertisement about The Company posted to a Newsgroup or Chat Room not run by the Affiliate to be spam.

 

ViscoSoft understands and agrees:

  1. To credit ambassadors photographs when posted on social media. If ViscoSoft fails to credit an ambassador, the ambassador will notify them immediately and credit will be given.

ViscoSoft will occasionally provide free products for a brand ambassador to promote on social networks.

ViscoSoft may provide additional commissions, reward points, giftcards, product awards, etc to top performing brand ambassadors at its discretion.

ViscoSoft will retain the rights to use any photos they send us or tag us in, even if the brand ambassador exits the program.

ViscoSoft agrees to not sell the personal information of its ambassadors.

ViscoSoft agrees to adhere to the ViscoSoft ’s privacy policy under these terms and conditions.

General:

  1. This agreement is subject to acceptance by ViscoSoft and is conditioned by the acceptance of these terms and conditions.
  2. Either party may terminate this agreement immediately for cause or without reason upon written notice.
  3. ViscoSoft may discontinue the Brand Ambassador Program at any time.
